Legal Everflow Pay Amendment
This Everflow Pay Order Form Amendment (“Everflow Pay Amendment”) forms part of the Everflow Order Form entered into by and between the Customer and Everflow Technologies Inc. (“Everflow”) (together, the “Agreement”), pursuant to which Customer accesses and uses Everflow Platform Services (as defined in the Agreement).
Any capitalized terms herein shall have the meaning set forth in the Order Form. In case of conflict between this Everflow Pay Amendment and the Everflow Order Form, this Everflow Pay Amendment shall prevail.
Everflow and Customer agree as follows:
1. Customer agrees to purchase Everflow Pay services and products, to be used in connection with Everflow Platform Services (“Everflow Pay”).
2. The following Everflow Pay terms shall be added to the Pricing section:
Everflow Pay Platform Fees:
In addition to the usage-based fees below, a $150 monthly Everflow Pay platform fee applies to all Everflow Pay accounts. This fee begins after a one-month grace period from the date the account is created.
Usage Fee - this is calculated from the total amount transacted through the Everflow Pay platform during the calendar month:

Customer agrees to the following:
1. Customer shall open an Everflow Pay account in Customer’s name.
2. Customer agrees to the Electronic Disclosure and Consent, located at https://www.everflow.io/legal/electronic-disclosure-and-consent and incorporated herein by reference.
3. Except as expressly provided herein, nothing in this Amendment shall be deemed to waive or modify any of the provisions of the Agreement, which otherwise remain in full force and effect.
Disclosures
The Everflow Pay program fee and usage fee are based on Everflow customers’ usage of the invoicing technology and platform services. Everflow Pay customers are not required to maintain an Everflow Business Deposit Account and the program and usage fees are not related to the deposit product or payment services provided through Thread Bank, Member FDIC.
